DOMESTIC U.S. COMMISSIONED REPRESENTATIVE PROGRAM

(Exhibit "A" to EAE Commissioned Representative Agreement)

As an integral part of the execution of a Commisioned Sales Reptresentative Agreement between the individual or sales agency identified below and Euro American Enterprises, L.L.C. this date, the Parties herewith acknowledge and affirm their mutual understanding concerning the following specific program terms and conditions:

1.

All commissions are computed on a monthly basis.

2.

The commission period for each term month begins on the first calendar day of said month and closes on the last business day of the same, with commissions due and payable to the representative on the 10th calendar day of the next following month.

3.

Commissions during any given term month will only be paid against actual receivables processed by Euro American Enterprises, L.L.C. during said month. All unpaid invoices not paid during the immediate commission month will be carried forward to the next month for payment.

4.

Commission computations do not include shipping expenses, customs duties or any other administative fees.

5.

Reimbursements for expenditures made by the Representative on behalf of Euro American Enterprises, L.L.C. on a pre-approved basis are not subject to any delays and will be paid as quickly as possible to the Representative as a separate payment from any due commisison(s).

6.

The actual comisison structure to be employed in paying Representative commissions during any given month will be based on the following schedule:

TOTAL DOLLAR VALUE OF RECEIVABLES PROCESSED BY ERC FROM THE SALES TERRITORY DURING ANY GIVEN TERM MONTH

PERCENTAGE OF TOTAL COMMISSION TO BE PAID

$ 1.00 BUT NOT MORE THAN $ 5,000 IN U.S. FUNDS

Eight Percent (8%)

$ 5,001 BUT NOT MORE THAN $ 10,000 IN U.S. FUNDS

Ten Percent (10%)

$ 10,001 BUT NOT MORE THAN $ 25,000 IN U.S. FUNDS

Twelve Percent (12%)

$ 25,001 AND ABOVE DURING ANY TERM MONTH

Fifteen Percent (15%)

7.

EAE reserves the right to charge the cost of any cummulative sales samples and shipping fees in excess of the basic $ 500.00 (US) allowance granted the representative as a draw against commission.

By execution below, the Parties acknowledge their mutual understanding and acceptance of the terms and conditions identified above.
